Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Mirenox ("Company," "we," "us," or "our") concerning your access to and use of our agricultural data analytics platform and related services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you may not access or use the Services.

Service Description

Mirenox provides a data management platform designed to help agricultural operations organize, visualize, and analyze farm-related information including soil conditions, weather data, and yield records. The platform offers tools for data input, storage, visualization, and reporting.

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time, with or without notice, for any reason.

User Accounts

Account Creation

To access certain features of our Services, you must create an account. When creating an account, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Maintain the security of your account credentials
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized access or security breach

Account Termination

You may terminate your account at any time by contacting us. We reserve the right to suspend or terminate your account if you violate these Terms or engage in conduct that we determine to be harmful to other users, us, or third parties.

Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree not to:

Your Data

Data Ownership

You retain all rights to the agricultural data and content you input into the Services ("Your Data"). By using the Services, you grant us a limited license to use, store, and process Your Data solely for the purpose of providing and improving the Services.

Data Responsibility

You are responsible for the accuracy and legality of Your Data. You represent and warrant that you have all necessary rights to provide Your Data to us and that Your Data does not violate any third-party rights or applicable laws.

Data Backup

While we implement backup procedures, you are responsible for maintaining your own backup copies of Your Data. We are not liable for any loss or corruption of Your Data.

Intellectual Property

Our Intellectual Property

The Services, including all software, designs, text, graphics, and other content (excluding Your Data), are owned by Mirenox and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on our intellectual property without our express written permission.

Feedback

If you provide us with feedback, suggestions, or ideas about the Services, you grant us the right to use such feedback without any obligation to compensate you.

Fees and Payment

Certain features of the Services may require payment of fees. All fees are stated in Japanese Yen unless otherwise specified. You agree to pay all applicable fees according to the billing terms in effect at the time the fees become payable.

We reserve the right to change our fees at any time. Fee changes will be communicated to you in advance, and your continued use of paid Services after the effective date constitutes acceptance of the new fees.

Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, error-free, or completely secure. We do not warrant the accuracy, completeness, or reliability of any content or data provided through the Services.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MIRENOX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.

Indemnification

You agree to indemnify, defend, and hold harmless Mirenox and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising out of or related to your use of the Services, Your Data, or your violation of these Terms.

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Japan, without regard to conflict of law principles. Any disputes arising out of or related to these Terms or the Services shall be resolved through good faith negotiations. If negotiations fail, disputes shall be submitted to the exclusive jurisdiction of the courts in Niigata, Japan.

Changes to Terms

We may modify these Terms at any time by posting the updated Terms on our website with a new "Last Updated" date. Material changes will be communicated to you via email or through the Services. Your continued use of the Services after such changes constitutes acceptance of the modified Terms.

General Provisions

Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Mirenox regarding the Services.

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

Assignment

You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. We may assign these Terms without restriction.
